Terms&Conditions

1. Introduction

These Terms & Conditions govern the access to and use of the website www.draycottacademicbattle.com (the “Website”) and all aspects of participation in the Draycott Academic Battle (the “Draycott Battle”) in any of its phases, formats or editions. 

 

By accessing the Website, submitting an application and/or participating in the Draycott Battle, the participant expressly acknowledges and agrees to be bound by these Terms & Conditions.

Failure to accept these Terms & Conditions precludes any access to the Website and participation in the Draycott Battle.

 

2. About the Draycott Academic Battle

The Draycott Battle is an academic competition with a practical component, designed exclusively for educational purposes and to provide participants with exposure to real-world private equity concepts through case analysis, teamwork, and presentations.

Participation does not constitute:

​

• an employment relationship;

• a provision of services;

• an internship or promise thereof;

• the provision of investment, legal, financial, or professional advice;

• any partnership, mandate, agency, or fiduciary, or any other similar type of relationship with the organisers.

 

3. Eligibility and Applications

Participation is subject to the eligibility criteria defined by the organisers.

The organisers reserve the right, at any time and without prior notice, to:

​

• accept or reject applications at their sole discretion;

• modify, suspend, or cancel the Draycott Battle;

• alter the format, structure, timetable, agenda, jury, content, methodology or awards of the Draycott Battle.

​

No participant shall be entitled to claim any compensation, indemnification or reimbursement as a result of such decisions made pursuant to the exercise of the abovementioned rights.

 

4. Confidentiality, Content and Format

All information, materials, data, documentation and content accessed, disclosed or made available to participants, in any format or medium, whether tangible or intangible, as well as all content created, developed, submitted or presented by participants in the context of the Draycott Battle, are strictly confidential (“Confidential Information”).

Confidential Information includes, without limitation:

​

• investment cases and all related information;

• any real or hypothetical business information;

• financial, strategic or operational data;

• briefings, guidelines, templates and supporting materials;

• analyses, financial models, reports, presentations and investment thesis; and

• the concept, format, structure, methodology, rules and dynamics of the Draycott Battle itself.

Participants undertake to:

• keep all Confidential Information strictly confidential;

• not to disclose, transmit, reproduce, publish, store, or make available such information to any third party; and

• not to use Confidential Information for any purpose other than participation in the Draycott Battle, without the prior written consent of Draycott.

This confidentiality obligation shall remain in full force and effect after the conclusion, suspension or cancelation of the Draycott Battle, regardless of the reason for termination of participation.

 

5. Intellectual Property

All intellectual property rights, including copyright and related rights, industrial property rights, know-how and trade secrets, relating to:

​

• the Website;

• the Draycott Battle;

• its format, concept, structure and methodology;

• all materials and information provided by Draycott,

• all content created by participants in the context of the Draycott Battle; and

​

Draycott’s brand, trademarks, trade names, logos, domain names, distinctive signs, visual identity, and any other proprietary branding elements, whether registered or unregistered, shall be the exclusive property of Draycott.

By participating in the Draycott Battle, participants hereby irrevocably and definitively assign to Draycott, free of charge and on an exclusive basis, all intellectual property rights, including copyrights and related rights, over any materials, analyses, presentations or other content produced in the context of the Draycott Battle, for unlimited territory, means, formats or purposes, including commercial, institutional, promotional or educational use.

All content on the Website, including text, graphics, logos, and materials, is the intellectual property of Draycott or its partners, unless otherwise stated.

​

Any unauthorised reproduction, copying, modification, adaptation, distribution, transmission, publication, display, licensing, commercial exploitation, or other use of any content, in whole or in part, by any means and in any form, whether physical or digital, is strictly prohibited

 

6. No Compensation or Indemnification

Participation in the Draycott Battle is voluntary and does not entitle participants to any remuneration, compensation, reimbursement, or indemnification, present or future, including in respect of:

​

• participation in the competition;

• time spent or expenses incurred;

• Failure to attend commitments; 

• the creation or use of any content;

• the use, adaptation, disclosure or exploitation of such content by Draycott or any of the organisers; or

the format or concept of the Draycott Battle.

 

7. Use of the Website

The Website shall be used exclusively for lawful purposes. Any attempt to disrupt, interfere with, or compromise its operation or security, or use in a way that could harm the organisers or other users is strictly prohibited.

 

8. Limitation of Liability

To the fullest extent permitted by law, neither Draycott nor any of the other organisers of the Draycott Battle shall be liable for any direct, indirect, incidental or consequential damages arising from:

​

• access to or use of the Website;

• participation in the Draycott Battle; or

• reliance on any information provided.

​

The organisers make reasonable efforts to ensure the accuracy of the information on the Website, but do not guarantee that all content is complete, free from errors or omissions, or up to date. 

 

9. External Links

This website may contain links to third-party websites. The organisers assume no responsibility for the content or practices of such external sites, and the access to and use of any third-party websites is entirely at the participant’s own risk. 

 

10. Privacy

Personal data collected through the Website or during the Draycott Battle are processed in accordance with Regulation (EU) 2016/679 (GDPR), Law no. 58/2019, of 8 August and our Privacy Policy.

 

11. Changes to These Terms

The organisers reserve the right to update or amend these Terms & Conditions at any time. Changes will be effective upon publication on the Website.

 

12. Governing Law and Jurisdiction

These Terms & Conditions shall be governed by and construed in accordance with the laws of Portugal. 

The courts of Lisbon, expressly excluding any other jurisdiction, shall have exclusive jurisdiction to settle any disputes arising from or related to these Terms & Conditions or the Draycott Battle.
